Reference is made to the unregulated recommended voluntary cash offer to acquire all issued and outstanding shares in Vow Green Metals AS (the "Company" or "VGM") except for shares owned by the Rollover Shareholders (as defined in the offer document dated 19 May 2025 (the "Offer Document")) by Midas Industri AS (the "Offeror") at NOK 0.95 per share, as further set out in the Offer Document (the "Offer"). Further reference is made to the announcement published on 23 June 2025 that the settlement of the Offer was expected to be completed on or about 27 June 2025.

The Offeror hereby announces that the Offer has been completed and that settlement of the Offer has been made. Following settlement of the Offer, the Offeror holds 185,546,524 shares in the Company, representing approximately 91.49% of the issued and outstanding share capital and voting rights in the Company.

The Offeror intends to effect a compulsory acquisition of the remaining shares in the Company not owned by the Offeror at a redemption price equal to the offer price in the Offer of NOK 0.95 per share. A separate stock exchange announcement will be published when the compulsory acquisition has been resolved by the board of directors of the Offeror in accordance with section 4-26 of the Norwegian Private Limited Liability Companies Act.

Following a compulsory acquisition, the Offeror will pursue a delisting of the Company’s shares from Euronext Growth Oslo. A separate stock exchange announcement will be published regarding such delisting.
